hereinafter collectively referred to as the “Service Providers” and individually as a “Service Provider,” hereby extend this public offer to any legally capable individual to enter into an agreement under the terms and conditions set forth below.
Pursuant to Clause 3 of Article 438 of the Civil Code of the Russian Federation, acceptance of this public offer by an individual constitutes acceptance of the agreement and renders such individual a User of the TIMELESS Club Card by way of registration, authorization, accumulation, and use of bonus points when settling payments at lounge bars operating under the “TIMELESS” trademark (hereinafter referred to as “TIMELESS”) in accordance with the terms outlined herein.
This offer is valid at all TIMELESS locations. The program may be temporarily unavailable at newly opened TIMELESS venues.
DEFINITIONS
Unless expressly stated otherwise in this Agreement, all terms and definitions used herein shall have the following meanings:
User — a legally capable individual (as defined in Article 21 of the Civil Code of the Russian Federation) who has completed registration on the website located at: https://form.cardpr.com/fe4662cc-21c6-43d9-9ca4-1db571ebca73, hereinafter referred to as the “Website”.
Club Card — an electronic card, valid for the duration of this Agreement, which allows the User to accumulate the value of paid receipts in order to receive discounts on future purchases, in accordance with Appendix 1 to this Agreement, as well as to receive other privileges from any of the Service Providers under the terms of this Agreement.
Receipt Amount — a notional positive amount representing the value of services paid for by the User to the Service Providers using the Club Card, which entitles the User to a Discount.
Discount — a percentage reduction in the User’s bill for services provided by the Service Providers, in accordance with the terms of this Agreement. The discount is applied automatically upon reaching the threshold specified in Appendix 1 to this Agreement.
Privileges — special terms for the acquisition of goods and services from the Service Providers.
Program — a loyalty system that governs the relationship between the User and the Service Provider regarding the User’s right to receive Privileges.
Promo Code — an individual combination of characters that entitles the User to claim Privileges or discounts on an order, subject to the conditions under which the promo code was issued.
Terms and definitions listed above may be written in this Agreement in uppercase or lowercase letters, and in either singular or plural form.
1. SUBJECT OF THE AGREEMENT
1.1. The Parties enter into this Agreement, under which the Service Provider undertakes, for the duration of this Agreement, to provide food and beverage services to the Customer under the terms and conditions set forth herein. By registering and completing identification on the Website, the User confirms full acceptance of this Agreement and agrees to comply with its provisions.
1.2. Any individual may become a User by making a purchase of any amount from any of the Service Providers.
1.3. The authority of a Service Provider’s representative arises from the circumstances, including representatives acting as TIMELESS shisha masters.
1.4. A Club Card User retains all rights granted under consumer protection legislation.
2. TERM OF THE AGREEMENT
2.1. This Agreement enters into force upon the User’s acceptance of its terms by completing registration and identification on the Website.
2.2. Registration and identification on the Website constitute confirmation that the User has read, understood, and accepted the terms of this Agreement and thereby enters into a binding contract.
2.3. This Agreement remains in force until the Service Provider withdraws the Offer.
3. PAYMENTS UNDER THIS AGREEMENT
3.1. The discount applies to any order paid in cash or by bank card. The Club Card may not be used in conjunction with other promotions or special price offers, unless otherwise stated in the terms of the relevant promotion published on the Service Provider’s website.
3.2. To receive food and beverage services under the terms of this Agreement, the Club Card User must present the original card in the Wallet/Wallet Passes application to the Service Provider’s staff at the time of payment.
4. USE OF THE CLUB CARD
4.1. The User receives the Club Card upon completing registration and identification on the Website.
4.2. The User is entitled to receive a Discount on their order in accordance with Appendix 1 to this Agreement.
4.3. The Service Provider may grant an additional discount or other privilege through the use of a Promo Code. A Promo Code is valid for one-time use only and must be used in conjunction with a valid Club Card.
4.4. The User is prohibited from sharing individual Promo Codes with third parties.
4.5. The Service Provider reserves the right to refuse the provision of food and beverage services or decline to apply the Club Card if there is reason to believe the Club Card is being used improperly.
4.6. The Service Provider may terminate a User’s participation in the Program without prior notice for any reason, including but not limited to the following cases: – the User exceeds the applicable discount limit; – the User is blacklisted due to violation of TIMELESS internal rules; – the User fails to comply with the terms of this Agreement; – the User provides misleading or false information to the Service Provider.
The User may also terminate their participation in the Program at any time by sending a written notice to the Service Provider via email at welcome@timeless.club. Upon receipt of such notice, the User’s account will be deactivated.
5. AMENDMENTS TO THIS AGREEMENT
5.1. The Service Provider may amend the terms of this Agreement by publishing the updated version in a publicly accessible section of the website www.timeless.club no later than seven (7) calendar days prior to the effective date of such changes. If, within this seven (7)-day period, the Club Card User does not explicitly express disagreement with the amended terms, the Agreement shall be deemed amended and binding on both Parties.
5.2. The Club Card User is required to review the text of this Agreement for possible changes at least once every seven (7) calendar days.
6. MISCELLANEOUS
6.1. Unilateral termination of this Agreement shall be permitted in cases stipulated by applicable law.
6.2. The Service Provider shall not be held liable for settlements with the User under this Agreement in the event of unforeseen disruptions in power supply or data transmission networks.
6.3. Losses under this Agreement shall be compensated only to the extent of actual damage incurred.
